Corporate advisory work runs in parallel with and compliments our transactional support services and draws on both our transactional and sector knowledge.
We are able to provide comprehensive specialist advice to companies, partnerships and other entities on the day-to-day issues affecting your business operations. We work with our colleagues from the tax, employment, dispute resolution and other specialist teams as necessary, to provide advice across the full range of legal services you need, including:
- Annual General Meetings for clients across various markets, including Premium and Standard Listed companies and those admitted to trading on AIM – including planning for any potential issues at the AGM, attendance at the AGM itself and preparation of shareholder circulars and related documentation
- Annual report and accounts – including ensuring compliance with both statutory requirements and non-statutory guidance
- General meetings of both public and private companies, where these are difficult or out of the ordinary – including acting for companies or shareholders on board control seeking measures
- Directors duties and conflicts of interest – including amending articles of association and putting in place internal procedures
- Share ownership – including establishing internal markets for private companies to incentivise and enfranchise their employees and other provisions to regulate control and ownership of companies
- Shareholder disputes – acting for companies and shareholders, and bringing in expertise from our dispute resolution teams as necessary
- Solvent restructuring – including change in corporate structures, such as conversions to LLP and reductions of share capital
- Company law and regulation – including the Companies Act 2006, Listing Rules, Disclosure and Transparency Rules, Takeover Code, AIM Rules, AIM Rules for Nominated Advisers and the Bribery Act 2010.
