Our quoted companies team acts for a number of well known public companies on both AIM and the Full List on an ongoing basis.

On the capital markets we are particularly focused on AIM where we are as comfortable acting for the Nomad / sponsor as we are in acting for the company itself. AIM is an attractive market for both UK and overseas businesses for a variety of reasons and in 2005 most of the IPOs we acted on were for international businesses.

The team also co-ordinates our other services to quoted companies including M&A, corporate governance compliance and share incentive plans.

In keeping with our support for smaller quoted companies, we are active members of the Quoted Companies Alliance (QCA) which represents the interests of quoted companies outside the FTSE 350, including AIM. Our lawyers sit on a number of the QCA’s technical committees and work with the QCA to lobby the Government on behalf of the smaller quoted company sector.

Experience

Newport Networks £15m placing
Acting for this leading edge telecoms business on its £15m placing to institutional investors, underwritten by Evolution Securities, having advised on the company’s admission to AIM in 2004.

£47m AIM flotation of Israeli company
Acting for the Israeli company Orpak , a leading provider of automated fuel payment systems for international oil companies, regional fuel station operators and fleet owners, on its admission to AIM and placing raising £47m, principally from US investors.

£14 million pre-IPO fundraising
Acting for Intelligent Energy , a leading developer of fuel cell and hydrogen generation technologies, on its pre-IPO fundraising.

Simplification of share structure
Advising Ecclesiastical Insurance Office on the simplification of its share capital structure with the conversion of Redeemable Second Cumulative Preference Shares into Non-Cumulative Irredeemable Preference Shares and Redeemable Deferred Shares, and listing of 2,700,000 Irredeemable Preference Shares on the London Stock Exchange.

Readmission to AIM
Advising the Nomad, Numerica, on the readmission to AIM of White Nile, giving the company a market cap of £196 million.

£19m placing of preference shares
We advised longstanding Full List client Ecclesiastical Insurance Office on the placing of 19 million Irredeemable Non-Cumulative Preference Shares. JP Morgan Cazenove were EIO's financial advisers on the placing.

AIM float and £12m placing
Acting for the Nomad, Corporate Synergy, on the AIM float of Tel Aviv-based Leadcom , a direct supplier of telecommunications services and reseller of telecommunication equipment in emerging economies.

AIM float and £20m placing
Acting for the Nomad, Evolution Securities, on the admission to AIM of Alexander Mining plc , valuing the company at £40+ million.
