Investment funds
The group advises on the structure, formation and promotion of UK and offshore investment funds, both authorised and unauthorised. Clients’ investment strategies range from UCITS compliant and hedging to real estate, private equity and film funds.
Working closely with our tax colleagues, we develop the most appropriate tax efficient and flexible vehicle - whether it be a limited partnership, unit trust, other collective investment scheme or corporate structure. The funds may be aimed at retail investors, high net worth individuals, pension funds, insurers or other institutions. As part of the process we will ensure that carried interest arrangements are structured in the most beneficial manner for the management team.

Experience
Property
- establishing a £800 million international property limited partnership for institutional investors
- establishing a £200 million Jersey property unit trust investing in regional hotels
- setting up a UK limited partnership aimed at high net worth individuals and the SIPP market investing in regional leisure and warehousing properties
- acting for the managers on the conversion of a UK property limited partnership into a Guernsey unit trust, including an additional fund raising
- acting for an insurance group restructuring its property portfolios into a limited partnership, including obtaining a waiver from the FSA on the permitted link rules.
Private equity
- advising a private equity fund, combining an approved EIS fund with a limited partnership
- acting for a joint venture team seeking approval as an enterprise capital fund
- establishing a fund financed by a charitable foundation, university technology transfer office and government backed body to invest in start-ups and first round financings of companies developing low carbon fuels.
Hedge funds
- advising an Isle of Man based ABS hedge fund on a major restructuring, including advising on a new structure to accommodate a US feeder fund and making provision for new multi currency asset classes
- acting for a newly launched hedge fund on its structure about concerns with the HMRC attitude to the offshore funds tax regime.
Authorised funds
- advising a leading wealth management firm on schemes of arrangement for its authorised fund offering
- acting for a fund manager merging a UK UCITS unit trust into a Luxembourg UCITS SICAV
- acting for a leading depositary on numerous fund launches and reorganisations
- advising authorised corporate directors on the impact of the new COLL rulebook regime.
